3. Any live young born or hatched, either during the term of this Agreement or within a period after termination of this Agreement measured by the normal gestation or incubation period of the species, will be divided among the participating institutions as follows:

4. In the event of the specimen(s) being subjected to high-risk veterinary or husbandry procedures, permission must be obtained by telephone or telegraph from the loaning institution before the performance of such procedures. This provision is waived in the

• event of an emergency. Details of such procedures shall be provided in writing to the loaning institution within ten (10) deys.

For any research project in which the specimen(s) may be subiected to manipulation, stress or high-risk procedures. prior permission must be obtained in writing, from the appropriate official of the loaning institution.

5. The specimen(s) described in this document will not be transferred to another location outside the receiving institution's property

without first obtaining permission from the loaning institution.

6. The loaning institution vin be notified immediately by telephone or telegraph of mortality of the specimen(s). serious illness or the escape of the specimen(s). The loaning institution viii be notified of births as soon as reasonably possible.

7. In the event of the death of the specimen(s). a detailed necropsy will be performed by the receiving institution and the findings sent to the loaning institution.

6. The caresse and its parts remain the property of the loaning institution. The final disposition of the carcass and parts viii be the decision and reaponsibility of the loaning institution.

9. The receiving institution viii provide all information necessary to maintain appropriate studbooks and record-keeping systems.

including ISIS data.

10. A copy of all pertinent records will be sent to the loaning institution upon termination of this Agreement.

As appropriate and unless otherwise specified, the term apecimen(s) used in this Agreement will include the progeny of eaid specimen(s).

All permite and licences for shipping, receiving and holding of the epecimen(s) shall be obtained by the loaning or receiving

institutions as required by law.

A. Obligations of the Loaning Institution

1. It is agreed that in the event of disease. injury or death of the specimen(s) and in the absence of gros negligence. the receiving institution, its agents and employees will be free of all

responsibility to the loaning institution.

2. A copy of ail appropriate information pertaining to the

epecimen(s), including, but not restricted te, ISIS data. behavioral traits, medical and reproductive history, diet, origin and all other pertinent data will be provided by the loaning institution.

B. Obligations of the Receiving Institution

I. The receiving institution will provide the highest acceptable standards of housing, security for the specimen(s) and the

public, diet. veterinary cane and other necessities conducive to the well-being and reproduction of the specimen(s). Under

certain circumstancee (bachelor harde, etc.) the specimen(s) may be placed in a non-reproductive situation, but will be maintained in compliance with the above, for subsequent reintroduction into a potentiel reproductive situation.

2. The receiving institution will undertake its best efforts to breed the specimen(s) with mates approved by the loaning institution.

1. All transportation expenses incurred in shipping the specimen(s) to the receiving institution will be borne by the receiving

institution; transportation expenses for returning the specimen(s) to the loaning institution will be borne by the loaning institution.

2. This agreement will remain in effect for the lifetime of the specimen. However, either institution may terminate this agreement by giving the other institution 30 deys written notice prior to the effective date of the proposed termination.

3. Unlees one of the parties terminates this Agreement by giving the other party 30 day written notice, this Agreement will remain in effect for the lifetime of the specimen(s).

4. Neither this Agreement. nor any rights or privileges granted hereunder, shall be assigned without prior written consent by the undereigned parties thereto.

5. Consistent uith applicable law, the undersigned or their decignees chai' be responsible for resolving any conflicts arising from

implementation of this Agreement.

6. Thie Agreement may be amended or modified by mutuel consent of ail parties hereto. Such amendmenta shah be incorporated into thic

Agreement as addenda.
