ACKERMANS & VAN HAAREN AND THE BARON BRACHT FAMILY SIGN A SHAREHOLDERS AGREEMENT. On February 12th 2007, the Baron Bracht family and Ackermans & van Haaren (AvH) have signed a shareholders agreement, in which they have made long-term arrangements with regard to the management of their respective shareholdings in the listed Sipef-group. The Baron Bracht family which developeded the Sipef group since generations, owns presently 11.63% of the capital in Sipef (11.47% fully diluted). AvH has, since its entrance in the capital of Sipef in 1997, systematicly built up its participation until the current level of 18.80% (18.54% fully diluted). The two groups represent together 30.43% of the capital of Sipef (30.01% fully diluted). With this agreement the Baron Bracht family and AvH wish to ensure a long term and a stable shareholdership and lay the foundation for a stable development and a profitable growth of Sipef. The shareholders support the continuity in the strategy of Sipef, to further expand into a multinational agro-industrial company active in the production of sustainable tropical agricultural products. As a result of this agreement, the interest in Sipef will be accounted for in the consolidated accounts of AvH by the equity method as of 2007..
