ABN AMRO Holding N.V. invites shareholders and depositary receipt holders to attend the General Meeting of Shareholders The General Meeting of Shareholders (the “Meeting”) of ABN AMRO Holding N.V. (“ABN AMRO”), established in Amsterdam, the Netherlands will be held on Friday, 11 April 2008. The Meeting starts at 11.00 a.m. and participants can register from 10.00 a.m. onwards. Time table for the Meeting 31 March 2008 Record date as of 1 April 2008 Start registration for the Meeting 9 April 2008 Final date to register for the Meeting 11 April 2008 The Meeting Admission to the meeting You are entitled to attend, to speak at and – when applicable – to vote at the Meeting if, after the processing of all deliveries and withdrawals as of 31 March 2008 (the “record date”), you are in possession of ABN AMRO ordinary shares, ABN AMRO preference shares (the ordinary shares and preference shares hereafter defined as “Shares”) or ABN AMRO depositary receipts and you have applied to attend the meeting as described under “Attendance instructions”. Attendance instructions Registration of holders of Shares and/or depositary receipts If you wish to attend the Meeting, you can register yourself for attending the Meeting. You are requested to register yourself via the bank or broker with which your Shares and/or depositary receipts are administered. Your bank or broker should sent a confirmation to ABN AMRO Bank N.V. identifying the number of shares held by you on the record date and that you wish to attend the Meeting. The written confirmation must be received by ABN AMRO Bank N.V. ultimately by 17:00 hours on 9 April 2008. You will receive by e-mail or by post a proof of registration, the “registration receipt”, with your registration receipt number. This registration receipt number will serve as your entry ticket, with which you should identify yourself when you register at the Meeting. Please bring a valid proof of identity to the Meeting.. Holders of registered Shares If you wish to attend the Meeting you are requested to inform the Managing Board of ABN AMRO in writing (P.O. Box 283, HQ1210, 1000 EA Amsterdam, the Netherlands). Such notice must be received no later than 9 April 2008. You will subsequently receive a registration receipt number. This registration receipt number will serve as your attendance card. Please bring a valid proof of identity to the Meeting. The number of shares for which you have registered is mentioned on the registration list of ABN AMRO. If you have not received a registration receipt number you or your proxy, in case you are not able to attend the Meeting in person, are requested to proof your identity with a valid proof of identity. After verification of the information mentioned on the registration list access to the Meeting will be granted. Proxy voting Proxy for civil law notary If you cannot attend the Meeting but wish to vote, you can authorise a third party to vote for you. If you wish to authorise the civil law notary, you can do so with an electronic proxy. Please visit http://www.abnamro.com/ava, where is explained how you can grant an electronic proxy. In order to grant a proxy and voting instruction, you must register yourself as described under “Attendance Instructions” If you wish to authorise the civil law notary but do not have access to the internet, please call the ABN AMRO Service Desk on tel.: +31-(0)76-5799455, where you can ask for a proxy form and voting instruction form. The proxy and voting instruction should be received by Mr. M.J. Meijer c.s.(cival law notary), Keizersgracht 695-697, 1017 DW Amsterdam, the Netherlands) by 17.00 hours on 9 April 2008.. Proxy for third party If you wish to authorise a third party to vote for you, you should complete and sign the authorisation at the bottom of your registration receipt. The proxy should hand over this authorisation when he or she registers at the meeting. Proxy voting rights against financing preference shares The Stichting Administratiekantoor Preferente Financieringsaandelen ABN AMRO Holding grants voting rights to holders of depositary receipts. Voting rights are related to the value of the ordinary shares. In accordance with article 13 of the Terms of Administration, the number of votes will be calculated by dividing the total nominal value of the depositary receipts, for which the holder has requested a proxy, by the ordinary share closing price on 29 February 2008. On that day, the closing price of an ordinary share was EUR 38.10. The power of attorney, indicating the number of votes to be cast, will be for your disposal at the registration desk on the day of the meeting. Holders of depositary receipts are free to authorise a third party to vote. See “Proxy voting”. In accordance with its Statutes and Terms of Administration, the Stichting Administratiekantoor Preferente Financieringsaandelen ABN AMRO Holding will not exercise any voting rights at this meeting, nor will it attend this meeting. The annual report to holders of depositary receipts, as referred to in article 11. 2 of the trust conditions, is available free of charge to holders of depositary receipts from ANT Trust Corporate Services, tel.:+31-(0)20-5222555, email: conversie@ant-trust.nl. How to reach the head office The head office is located next to the Amsterdam Zuid railway station. For shareholders who wish to attend by car, limited parking space will be made available in the visitors garage at the head office.
